Contracts AI is an embedded feature within Contracts+ that allows Contract Specialists and Buyers within Procurement to simplify certain tasks within the contract authoring process.  Within our Contracts+ implementation, 4 primary features are enabled.  This article provides overview of each of those features

## \uD83D\uDCD8 Generating AI Summaries

Contracts AI allows Contract Specialists to generate summaries on the Contract Record, based on the information available in files in the attachments section and the details of the Contract Record.  These can be set to “legal person” or “non-legal person”.  Since the Contract Record will be available to all departments to view, “non-legal person” should be selected.  To generate a summary, follow the steps below:

1. Within the contract record, navigate to the header tab..  Click “Generate AI Summary” found below the summary section on the header

2. A wizard will appear.  You can click the drop down to choose various options for the summary

3. **Generate a Brief Summary: **Clicking “Generate a Brief Summary” and “Ask AI” will begin the process of creating the draft text.  At this stave you can close the window and return later or wait for it to complete the summary.

4. The summary will appear.  You can edit it to your liking and click “Replace Summary” to finalize it and post the summary to the Contract Record.

5. **Generate a Brief Summary as Bullets**: If you selected “Generate a Brief Summary as Bullets, it will make a bulleted list for you.  You can similarly edit this entry before clicking “Replace Summary” to finalize it

6. **Custom: **A custom prompt will give more flexiblity in how you want the AI to write the summary for you.  As mentioned above, choose “non-legal person”, but edit the character limit to your liking and provide whatever guidance you want

Feel free to experiment as this may provide more useful results than other options

> ℹ️ Note: This feature works with draft contracts and executed agreements

## \uD83D\uDCD8  Chat with Contract

“Chat with Contract” provides an AI interface for Contract Specialists to ask questions about the Agreement or Draft Agreement.  The AI will return answers based on the content within the document and do its best to summarize and analyze based on the prompts you provide.  The following steps below cover how to launch and use this feature:

1. Begin by navigating to the “Attachments Tab on the left-hand side of the screen.  Look for the “Chat with Contract” icon in the upper right corner and click it.

2. After clicking it, a pop-up will launch.  It may take a minute to load, so don’t close it while you wait.

3. The pop-up shows the “Main Document” within the attachments.  You can prompt the AI with any questions about the agreement

4. The AI will provide an answer which you can then use to help better understand the agreement:

5. You can also prompt with some pre-set suggestions for follow-up questions:

6. Once analysis has been completed, you can close the window.

##  \uD83D\uDCD8 Word-Plugin AI Features

Contracts AI can also be used within the Microsoft Word Jaggaer Plug-in.  Click “Ask AI” , which appears as another tab in the word-plugin menu.

Start by highlighting the text you would like for which you’d like to use the “Aski AI” feature.

While drafting an agreement, you can currently perform two different AI actions with “Ask AI”:

1. **Replace Selected Text: **The AI will try to re-word the text to something more concise and brief.  This is best used for summarizing your own redlines or draft language, as opposed to the Supplier’s language

2. **Identify Risks with Selected Clauses: **This is a very powerful tool that will flag risks with a selected clause.  This is most useful for reviewing language from Suppliers and standard language on third party paper:

## \uD83D\uDCD8 Clause Analysis

Clause Analysis reviews any contract document against standard terms found in the University’s clause library to compare similarity, identify risks, and make suggestions on how to mitigate risks.  You can use this after any time you update the main document in the attachments section to analyze the negotiation process over time. 

> ℹ️ Standard clauses analyzed include: Term and Termination, Confidentiality, Force Majeure, Indemnification, Warranty, Intellectual Property, License, Obligations, Payment Terms, Governing Law, Invoicing Terms, Notices, Ownership, Assignment, and Audit.
> ℹ️ 
> ℹ️ The Liability and Services clauses are not active and will not produce any results or analysis

> ⚠️ Note: this feature is currently only available for Purchasing Agreements.  The team is working to integrate this into other contract types over time.

To use this feature:

1,  Ensure that a main document is uploaded in the attachments section of the contract record

2. Click the “Clause Analysis” button, found below “Attachments”

From here, click the “Send to Contracts AI” button:

The clause will queue and then begin processing:

The AI will extract any apparent matches it finds in the document to the standard clauses in the University's clause library.  You may use the analysis to assist with identifying risks, negotiating, and drafting language:
